Essentially, run SQL Server Setup from the CD, run, and reapply the service
pack and you're done.

Thanks for reply. We have prod dbs there in sql2k sp4 standard edition.
After I done with upgrade as you mentioned, my prod dbs would be OK?

Yes. But by all means, try it out on a test machine first, so that you
are comfortable with the procedure.
